Mentor Coaching Agreement

This Mentor Coaching Agreement ("Agreement") is entered into by and between IntelliCoach Pte Ltd. ("IntelliCoach"), with its principal place of business at 82 Ubi Avenue 4, #07-04, Edward Boustead Centre, Singapore 408832, and the Mentor Coachee ("Client"):

1. Definitions for Clarity

1.1 "Coaching" is a partnership between the Coach and the Client in a thought-provoking and creative process that inspires the Client to maximize personal and professional potential. It is designed to facilitate the creation and development of personal, professional, or business goals and to develop and carry out a strategy/plan for achieving those goals.

1.2 "Mentoring" is a semi-structured guidance whereby one person shares their knowledge, skills, and experience to assist others in progressing in their own lives and careers. A mentor is accessible and prepared to offer help as the need arises within agreed bounds.

1.3 "Mentor Coaching" is an essential component of professional-level coach training and growth as a coach. It consists of coaching and feedback in a collaborative, appreciative, and dialogued process based on an observed or recorded coaching session to increase the coach's capability in coaching, in alignment with the ICF Core Competencies.

2. Services Provided

2.1 IntelliCoach will provide mentor coaching services to support the Client in their personal growth and completion of mentor coaching requirements.

2.2 The program includes 5.5 hours of group mentor coaching sessions and optional individual mentor coaching sessions (1, 2, or 3 sessions) at the Client's discretion.

2.3 IntelliCoach will provide recordings of each session, made available for at least 3 years from the time of commencement of this agreement. These recordings are provide as reference points and for rehearsal. They do not replace actual participation.

2.4 At the end of the program, IntelliCoach will provide a certificate stating the exact number of mentor coaching hours attended by the client. 

2.5 IntelliCoach will provide meeting infrastructure to conduct all sessions.

2.6 IntelliCoach will provide detailed written feedback for every coaching conversation submitted for the individual 1:1 sessions.

3. Client Responsibilities

3.1 The Client shall provide real coaching conversation recordings for assessment and feedback, submitted at least 1 week before each booked individual session.

3.2 The Client shall share a clear focus area for each 1-hour individual mentor coaching session at least 24 hours prior to the session.

3.3 The Client shall submit a simple self-assessment of coaching skills 24 hours before each mentor coaching session.

3.4 The Client agrees to be open to growth, exploration, and feedback throughout the mentor coaching process.

3.5 The Client must attend 5.5h of mentor coaching session live.

4. Program Structure and Pricing

4.1 Group Mentor Coaching:

• 5.5 hours of group mentor coaching sessions.
• Two separate groups, each consisting of 4-5 participants.
• Fixed price of SGD 400 per person for the group mentor coaching component.
• Client can move between groups if necessary.

4.2 Optional Individual Mentor Coaching:

• 1, 2, or 3 one-hour individual mentor coaching sessions.
• Price of SGD 200 per individual session.

4.3 Program Duration:

• Group mentor coaching sessions will be held once a month, with a tentative start date of July 2024.
• Individual mentor coaching sessions will be scheduled based on the availability of the participant and the mentor coach.

4.4 Payment Terms:

• Upon signing this agreement, IntelliCoach will issue an invoice with payment options.
• Full payment is due before commencement of the first session of the program.
• We recommend and offer payment via PayNow or bank transfer.
• We also offer credit card payment. However, this option will incur an additional 3% credit card fee.

5. Program Structure and Pricing

5.1 The coaching relationship and all information shared by the Client will be kept confidential, as per the ICF Code of Ethics.

5.2 Exceptions to confidentiality include instances where the coach is required by law to disclose information or if there is an imminent risk of danger or harm to the Client or others.

6. Intellectual Property

6.1 All training materials, resources, and content provided by IntelliCoach remain the intellectual property of IntelliCoach.

6.2 The Client agrees not to reproduce, distribute, or share any program materials without express written permission from IntelliCoach.

6.3 Client Coaching Conversation Recordings provided to IntelliCoach for assessment are the intellectual property of the client.

6.4 The client may use coaching assessment documentation by IntelliCoach per their discretion. 

7. Confidentiality

7.1 The Client agrees to hold the existence and content of coaching conversations confidential. The Client agrees to also keep any conversations, discussions in mentor coaching sessions confidential (group and individual).

7.2. IntelliCoach agrees to hold all content of mentor coaching sessions (group and individual) confidential. Session recordings will be made available on a secure platform for program participants only.

8. Termination

8.1 Either party may terminate the Agreement with a 2-week written notice.

8.2 In the case of termination, Intellicoach will compensate the client for program components that are not yet started (i.e. (1) group mentor coaching component or the (2) complete individual mentor coaching component) 

9. Limitation of Liability

9.1 IntelliCoach makes no guarantees or warranties regarding the outcomes of the mentor coaching program.
9.2 IntelliCoach's liability shall be limited to the amount paid by the Client under this Agreement.

10. Governing Law

10.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore.

11. Entire Agreement

11.1 This document constitutes the entire agreement between IntelliCoach and the Client, superseding any prior agreements or understandings.

12. Signatures

By signing below, both parties acknowledge that they have read, understood, and agree to the terms and conditions outlined in this Mentor Coaching Agreement.
