We feel privileged and honored that you choose to partner with IntelliCoach to increase Leadership effectiveness in your organisation.

The purpose of this document is to outline the mutual contractual agreement between you ("the Client") and IntelliCoach Pte Ltd ("IntelliCoach") for the agreed services to be rendered in the given timeframe. Terms and Abbreviations

Quotation refers to the discussed and agreed service scope.
Client refers to AAL Shipping
IntelliCoach refers to IntelliCoach Pte Ltd.
Service element refers to individual service items purchases by the client.

Service Agreement Scope

Client agrees to purchase the following service elements:

• Performance Coaching Foundations - 2x2h online workshops - 20 pax max
• Mastering Leadership Styles - 2x4h online workshops 23 pax max
• Leader Academy Bootcamp - 10 weeks - per Person

Client agrees to purchase the services above in the following timeframe:

Calendar Years 2021 or 2022

Client agrees to consume the services above in the following timeframe:

Calendar Year 2022
Specific delivery dates of service elements will be agreed between client and Intellicoach.

This service agreement is based on the following Quotation Reference Document:

Terms of Payment

• After signing of this contract, IntelliCoach will issue an invoice with payment mode instructions. Receipts for payment are provided in electronic format.
• The first 50% of the total invoicing amount is due 1 month after commencing the first service element in the agreement scope.
• The remaining 50% of the total invoicing amount is due after completion of all services rendered.
• The fees are outlined at the service agreement scope section in this document.
• For Credit Card payment, Intellicoach will add a 3% credit card fee processing fee to the final invoicing amount.
• Intellicoach is exempt from GST registration.
• If you choose bank transfer, we will contact you about payment options. We offer local bank transfers for the following currencies: USD, EUR, SGD, AUD, GBP and more.
• Our invoices are issued in USD. If you choose to pay in another major currency, we offer to provide an invoice in that accepted currency using daily exchange rates provided by xe.com

Intellectual Property Rights

The Client acknowledges that all intellectual property rights in the training materials and the documentation belong to IntelliCoach, that rights in the training materials and the documentation are licensed (not sold) to the Client, and that the Client has no rights in, or to, the training materials or the documentation other than the right to use them in accordance with the terms of the content license, as outlined below.

Content License

• The purchase of the training materials includes the granting of a non-exclusive, non-transferable license to use the provided program materials and the documentation on the terms of such license, which are set out in the following clauses.
• Where indicated, the client may download and use the provided documents for the purposes of completing the service elements.
• The client will undertake
  • not to copy the training materials or documentation except where such copying is incidental or necessary for the purposes of completing the relevant training course.
  • not to republish, sell, distribute, sub-license, translate, merge, adapt, vary or modify the training materials or documentation.
  • not to alter, or modify, the whole or any part of the training materials or documentation, nor permit the training materials or any part of them to be combined with, or become incorporated into, any other materials.
  • not to provide or otherwise make available the training materials or documentation in whole or in part, in any form to any person without prior written consent from IntelliCoach.

Confidentiality

The Client and intellicoach acknowledge that the content of all conversations and training sessions as part of the program are to be kept strictly confidential and not to be shared or discussed with any person who is not participating in the courses. Exceptions to this clause can be granted on a case-by-case basis based on the recorded agreement of all participants of the conversation/session.

Force Majeure

IntelliCoach will not be liable or responsible for any failure to perform, or delay in performance of, any obligations that is caused by events outside of reasonable control (Force Majeure Event). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond IntelliCoach’s reasonable control.

IntelliCoach's performance is deemed to be suspended for the period that the Force Majeure Event continues, and IntelliCoach will have an extension of time for performance for the duration of that period. IntelliCoach shall use reasonable efforts to find a solution by which obligations may be performed despite the Force Majeure Event.

Policy on withdrawals, alterations and refunds

All withdrawals and alteration requests shall be given to IntelliCoach in written notice.

• Cancellation: More than 14 days notice prior to workshop commencement: 50% refund of the program fees.
• Cancellation: 14 days or less than 14 days notice prior to workshop commencement: 25% refund of the workshop fees.
• Cancellation: There will be no refunds after the commencement of a workshop
• Alteration: Client and Intellicoach shall undertake reasonable efforts to agree on workshop changes to service delivery dates, if necessary.

Limited Liability

Except as expressly provided in this Agreement, IntelliCoach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the services negotiated, agreed upon and rendered. In no event shall IntelliCoach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, IntelliCoach's entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to IntelliCoach under this Agreement for all services rendered.

Entire Agreement

This document reflects the entire agreement between Intellicoach and the Client. It reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both IntelliCoach and the Client.

Dispute Resolution

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and IntelliCoach agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.

Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

Waiver

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

Applicable Law

This Agreement shall be governed and construed in accordance with the laws of the Republic of Singapore, without giving effect to any conflicts of laws provisions.

Binding Effect

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
